Searching for Business Records in New Jersey
In New Jersey, the Secretary of State is responsible for maintaining
important business records. Some of this basic information may be
searched online for free. Here are a few tips for conducting a search
for business information in New Jersey.
What Records Are Maintained by the New Jersey Secretary of State?
When certain business entities are created which are designed to limit
the liability of the participants, such as corporations or limited
liability companies, documentation of the formation must be filed with
the New Jersey Secretary of State. Some of this information is available
to be searched online.
Additionally, businesses sometimes file UCC (Uniform Commercial Code)
filings to document security interests that one party has in the
collateral of another in exchange for value. The debtor names and filing
numbers may be searched online for free.
Finally, some New Jersey businesses register their trademarks or trade
names with a New Jersey State registry which can be searched and some
information may be obtained for free online. Remember that this registry
is separate from the federal registry maintained by the United States
Patent and Trademark Office.
How Can I Search for Records Maintained by the New Jersey Secretary of
State?
To search for New Jersey business records over the internet, begin by
going to the website for the New Jersey Secretary of State, located at
http://www.state.nj.us/state/. At the top of the page, select the option
marked �Business.� This will take you to a page entitled �Taking Care of
Business.� In the middle of the page is a window bearing the words �I
want to�� next to a drop-down arrow. Click on the drop-down arrow to
display the menu of options, scroll to the last option which bears the
word �more�� and click on it. The word �more�� will now be displayed in
the window next to the drop-down arrow. Click on the button marked �Go.�
This will take you to a page bearing the words �I want to�� followed by
a list of potential options.
To search for business name availability or to search for information
about an existing business entity, from the �I want to�� page, select
the option �Check Available Business Names.� This will take you to a
page providing information about name availability searches. Within the
body of the second paragraph are the words �check the name availability
online� appearing underlined and in green. These words are a clickable
link. Clicking on this link will take you to a page entitled New Jersey
State Business Gateway Service.� From this page, you can select to
search for business information, UCC information, or trademark and trade
name information.
To search for information about a business or to see whether a desired
business name is in use, from the New Jersey State Business Gateway
Service page, select one of the options under the heading �Business
Entity Search,� to choose the method of search: business entity name, ID
number, associate name, or officer/director name. After clicking on the
radio button of your choice, enter the search information in the window
below and then click �Go.� Results will be returned in list form,
including business names, filing numbers and type codes. Additionally,
at this time you can check boxes next to the search results in order to
obtain additional information for a fee.
To search for UCC filings, from the New Jersey State Business Gateway
Service page, select one of the options under the heading �UCC Search,�
to determine whether you will search by debtor name/debtor location,
debtor name/filing date, or UCC filing number. After clicking on the
radio button of your choice, enter the search information in the window
below and then click �Go.� (Note that if you select either of the first
two choices, it is still possible to only enter the debtor name and no
additional information to perform the search.) Results will be returned
in list form, including debtor name and filing number. At this time you
may also select to purchase additional information.
To search for trademark and trade name information, from the New Jersey
State Business Gateway Service page, select one of the options available
under the �Trade Name and Trade/Service Mark Search� heading:
name/business location, name/filing date, or owner name/location. After
clicking on the radio button of your choice, enter the search
information in the window below and then click �Go.� Results will be
returned in list form, including the trademark or trade name, as well as
filing number. At this time, you may select to purchase additional
information about each item on the results list. It should be remembered
that state registry information is not the same as the trademark records
maintained by the United States Patent and Trademark Office.
